EULA

This End-User License Agreement (“EULA”) is a legal agreement between you (“Licensee” or “you”) and CyberHawk IoT (“Licensor,” “we,” or “us”) for the use of the CyberHawk IoT software and associated services (“Software”).

1. License Grant

Subject to the terms and conditions of this EULA, Licensor grants Licensee a non-exclusive, non-transferable, revocable license to use the Software solely for Licensee’s internal purposes and in accordance with the documentation provided by Licensor.

2. Restrictions

2.1 No Modification: Licensee may not modify, adapt, or create derivative works of the Software.

2.2 No Reverse Engineering: Licensee may not reverse engineer, decompile, or disassemble the Software.

2.3 No Redistribution: Licensee may not redistribute, sell, sublicense, or transfer the Software to any third party.

3. Ownership

Licensor retains all right, title, and interest in and to the Software, including all intellectual property rights therein. Licensee acknowledges that no title to the intellectual property in the Software is transferred to Licensee.

4. Support and Updates

Licensor may provide support and updates for the Software at its discretion. Any such support and updates shall be provided under the terms of this EULA.

5. Term and Termination

This EULA is effective upon the date of installation of the Software and shall continue until terminated. Licensor may terminate this license at any time if Licensee breaches any term or condition of this EULA.

6. Disclaimer of Warranty

The Software is provided “as is” without warranty of any kind. To the maximum extent permitted by applicable law, Licensor disclaims all warranties, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

7. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Licensor be liable for any special, incidental, indirect, or consequential damages whatsoever, including, without limitation, damages for loss of business profits, business interruption, loss of business information, or any other pecuniary loss, arising out of the use or inability to use the Software.

8. Governing Law

This EULA shall be governed by and construed in accordance with the laws of Texas, United States, without regard to its conflict of law principles.

9. Entire Agreement

This EULA constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior or contemporaneous agreements, whether oral or written.
